1. Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the NorthernSky website (northernsky.cloud) and our software products, TraceFlow, Batchwork, Aquanest, and PlanFlow (together, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
2. Accounts and Access
TraceFlow, Batchwork, Aquanest, and PlanFlow are available through a 14-day free trial, with no credit card required to start. After an account is created, an organization's administrator manages the account, and additional team members are added through invitations from that administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Services
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer or attempt to extract the source code of the Services, except where permitted by law
4. Data Ownership
Any data you or your organization enter into TraceFlow, Batchwork, Aquanest, or PlanFlow — including requirements, tasks, decision log entries, supplier records, ingredient lots, production batches, breeding records, fish batches, mould and machine records, and shipment records — remains your organization's property. NorthernSky does not claim ownership of your business data and uses it only to provide and support the Services.
5. Service Availability
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, updates, or unforeseen issues may result in temporary downtime. Specific uptime commitments, if any, will be set out in a separate service agreement.
6. Fees and Billing
Pricing for TraceFlow, Batchwork, Aquanest, and PlanFlow is published on our Pricing page. Each Service includes a 14-day free trial with no credit card required; if you choose to continue after your trial, payment details are added within the product. Additional fees and billing terms will be set out at the time an account is established or in a separate order form or agreement.
7. Termination
Any account administrator may cancel the subscription, or stop using the Services and close the organization's account, at any time. We may suspend or terminate access to the Services if these Terms are violated, or if required to protect the security or integrity of the Services. Upon termination, we will provide a reasonable opportunity to export your organization's data, except where prohibited by law.
8. Intellectual Property
The Services, including their design, software, and underlying technology, are owned by NorthernSky and are protected by applicable intellectual property laws. These Terms do not grant you any rights to NorthernSky's trademarks, logos, or branding except as necessary to use the Services as intended.
9. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
10. Limitation of Liability
To the fullest extent permitted by law, NorthernSky will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Services.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
